Terms of Service

These Terms of Service (“Terms”) govern your use of Arachne Claw (“Service”), operated by Gentic AI LLC (“we”, “us”, “our”). By completing a deposit or subscription purchase, you agree to these Terms.

1. Deposit and Reservation

Your $25 deposit is a non-refundable reservation fee that secures your infrastructure allocation. It is credited toward your first monthly subscription payment.

The deposit reserves a dedicated agent sandbox and infrastructure resources.
You have 14 calendar days from the deposit date to activate your subscription.
If you do not activate within 14 days, your deposit is forfeited and your reservation is released.
Forfeiture is automatic and does not require notice.

2. Subscription and Billing

Upon activation, your monthly subscription ($50/month for Claw) begins immediately.
Your first invoice is reduced by the deposit amount ($50 - $25 = $25 for the first month).
Subsequent months are billed at the full subscription rate.
All payments are processed via Stripe. You authorize recurring charges.
You may cancel at any time from your dashboard. No partial-month refunds.

3. Service Description

Arachne Claw provides access to AI agent capabilities via a web dashboard, email delivery, and REST API.
Your plan includes a specified number of agent runs per billing period (100 runs/month for Claw).
Each “run” consists of one complete agent execution cycle.
Unused runs do not roll over between billing periods.

4. Usage Limits

When limits are reached, additional runs are blocked until the next billing period.
We reserve the right to throttle or suspend service if usage indicates abuse.

5. Acceptable Use

You agree to use the Service only for lawful business purposes. Prohibited:

Attempting to access other tenants' data
Reverse engineering, scraping, or reselling the Service
Generating illegal, harmful, or deceptive content
Automated abuse exceeding reasonable usage patterns

6. Data and Privacy

Your workspace data is isolated to your tenant and never shared.
Upon cancellation, data is available for export for 30 days, then permanently deleted.
We do not sell your personal data or run data to third parties.

7. AI Output Disclaimer

AI-generated outputs are informational only and do not constitute professional, legal, financial, or medical advice.

8. Limitation of Liability

The service is provided “as is” without warranty. We shall not be liable for indirect, incidental, or consequential damages. Total liability shall not exceed the amount paid in the 3 months preceding the claim.

9. Termination

By you: Cancel anytime. Access continues until end of billing period.
By us: We may suspend for violation, non-payment, or at discretion with 30 days notice. Abuse may result in immediate termination.

10. Governing Law

These Terms are governed by the laws of the State of Nevada. Disputes shall be resolved in Clark County, Nevada.
